The purpose of the Share Your Space Website (the ”IKEA Website”) is to allow small business owners to display their interior decorating designs and promote their business to visitors of the Site. In exchange for this benefit, along with other good and valuable consideration, receipt and sufficiency of which are hereby acknowledged, I, individually and on behalf of the company or other entity that I represent, grant to IKEA Limited Partnership and its affiliated, related and associated entities, and each of its assigns and successors (together, "IKEA"), irrevocable, perpetual, worldwide, non-exclusive, royalty-free, sublicensable, and transferable license (but not the obligation) to use, copy, distribute, digitize, modify, adapt, promote, display, perform, make, sell, offer for sale, have made, and import, in whole or in part, my or my company's name, likeness, trade dress, ideas, commentary, reviews, information, concepts, images, recordings, and other communications or media that I may provide to IKEA or the IKEA Website or which IKEA may produce (such as photographs and video or audio recordings), ("My Submissions") and derivative works thereof. I grant this right to IKEA free of charge. I also grant other users of the IKEA Website a non-exclusive license to access and use My Submissions through IKEA as the IKEA media channel permits.
I represent and warrant that I own or control 100% of the rights in My Submissions, or have obtained proper consent to submit My Submissions to IKEA, that such rights are and shall be free and clear of any and all claims, right and obligations and that I have the right, or have received the consent of any necessary third parties, to grant to IKEA the rights set forth in this Release.
I understand that IKEA may use My Submissions for the purposes of selling, advertising, publicizing, marketing, developing, manufacturing, and engaging in commercial trade, in any media formats or media channels whatsoever, including, but not limited to in-store promotion, television, print, and Internet, whether now known or later developed, throughout the world with no restriction as to manner, frequency, or duration of use (the "Advertising"). I understand that I will have no approval or advance review rights with respect to the Advertising or IKEA's use of My Submissions.
I understand that I am solely responsible for My Submissions and assume all risks and consequences of submitting them to IKEA. I understand that I will not have any right to terminate the permissions granted herein, nor to seek, obtain, or enforce any injunctive or other equitable relief against IKEA, all of which such rights are hereby expressly and irrevocably waived in favour of IKEA. Having read this release, I waive and release IKEA and all other entities associated with the IKEA Website from all claims or liabilities of any kind arising out of My Submissions. I agree to indemnify and hold IKEA, its parent company, subsidiaries, affiliates, and contractors harmless from and against any and all claims, demands, liabilities, losses, actions, suits, costs, damages and expenses (including reasonable legal fees) associated with any claims or actions relating to My Submissions, including claims of infringement of any intellectual or industrial property right, trademarks, service marks, patents, copyrights, misappropriation of trade secrets, or other proprietary rights based upon My Submissions or IKEA's use of My Submissions. IKEA reserves the right, at its own expense, to assume the exclusive defence and control of any matter otherwise subject to said indemnification, and in such case, I agree to cooperate with IKEA's defence of such claim.
Except to the extent that they conflict with the terms contained in this License, Release and Waiver, I understand that the general website Terms and Conditions are also applicable and govern My Submissions and my use of the IKEA Website. If those general Terms and Conditions conflict with any terms or conditions of this License, Release and Waiver, the terms and conditions of this document will govern.
